Terms of Service

Welcome to AtomicMemory Cloud. These Terms of Service ("Terms") govern your access to and use of the AtomicMemory Cloud platform, website, and services (collectively, the "Services") provided by Atomic Strata ("Atomic Strata," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

AtomicMemory Cloud is a hosted memory-infrastructure service for AI agents and applications. Depending on your plan, the Services may include:

• A managed memory API for ingesting, searching, and packaging memories into model-ready context
• A developer console for provisioning projects, API keys, and usage
• Software development kits (SDKs) and a command-line interface
• Project-, user-, and agent-scoped memory isolation
• Inspectable mutation (AUDN) and retrieval traces
• An open-source self-hosted deployment path (AtomicMemory Core) that shares the same SDK contract

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials and API keys and not share them with others
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to use the Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services.

You retain ownership of any data, memories, or other content you submit to the Services ("Customer Content"). By submitting Customer Content, you grant us a worldwide, non-exclusive, royalty-free license to host, process, and store your Customer Content solely to provide and maintain the Services for you.

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or their infrastructure
• Circumvent usage limits, rate limits, or access controls of the Services

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

We do not sell your personal data to third parties. We may use third-party analytics and infrastructure providers to operate the Services. For more details about our data practices, please review our Privacy Policy.

The Services and all associated content, features, and functionality (excluding Customer Content) are owned by Atomic Strata and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code, except to the extent permitted by law or by the license of any open-source components we make available.

The Services may integrate with or contain links to third-party websites, applications, or services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. You use the Services at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATOMIC STRATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Atomic Strata and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

You may terminate your account at any time by contacting us or using account deletion features in the Services. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
